Terms of service

These terms are a contract between you (or the organization you represent) and Keelfolio Inc., 8 The Green, Suite B, Dover, Delaware 19901, United States. By creating an account or using Keelfolio you agree to them. If you use Keelfolio on behalf of an organization, you confirm you have the authority to bind it.

Keelfolio is accounting software for businesses. It provides bookkeeping, invoicing, document storage, bank data import, reporting and multi-company features as described on this site and in the application. We may add, change or remove features over time.

Keelfolio does not provide tax, legal, accounting or investment advice and does not prepare or file returns with any authority. Outputs of the software depend on the data you and your advisors enter. You remain responsible for the accuracy of your books and for your compliance obligations in every jurisdiction where you operate. Consult a qualified professional for advice on your situation.

• You are responsible for the credentials and activity on your account and for the people you invite.
• You retain all rights to the data you upload. You grant us the rights needed to host, process and display it to you and the users you authorize.
• You may export your data at any time and for a reasonable period after your subscription ends.
• You must not use Keelfolio for unlawful purposes, to store data you have no right to process, or to attempt to breach its security.

Paid plans are billed in advance in US dollars for the period shown at checkout. Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; changes apply from your next billing period.

We aim to keep Keelfolio available at all times but do not guarantee uninterrupted operation. Planned maintenance is announced in advance where practical. Support is provided by email at support@keelfolio.com.

You may cancel at any time from the application or by contacting us. We may suspend or terminate access for material breach of these terms or where required by law. On termination, your data remains available for export for a reasonable period before deletion.

Keelfolio is provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law. To the same extent, Keelfolio Inc. is not liable for indirect, incidental, special or consequential damages, or for penalties, interest or losses arising from filings or decisions made using the software. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose.

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
